IDEAL VERTICAL SOLUTIONS

An IDEAL VERTICAL SOLUTION is the reference model of a sector: structures, JOBs, tasks, processes, transactions and rules as the best practice of that sector describes them. It has three uses: the starting point of a client's AS IS, the benchmark for gap analysis, and the base of a NEWCO.

Gap analysis against the sector model

The model compares the client's organization with the IDEAL VERTICAL SOLUTION. It lists what is missing, what is different and what is in excess. Each gap is a row with its evidence, and each decision on it is recorded with its author.

Mergers and acquisitions in detail

  • Due diligence on the twin. Real workloads, key-person risk, RACI conflicts, work that exists but is written nowhere, real processes against declared ones.
  • Merging two AS IS. What is confirmed, what conflicts (duplicated JOBs, incompatible RACI, different rules for the same decision), what is decided. Every decision has a reason and a name.
  • Carve-out. For the perimeter to sell or close, the model says what is inside, what is shared and what must be separated. This includes links no organization chart shows, such as a manager of the subsidiary who works on a group program.
  • Two companies, one NEWCO. Both companies move toward a designed NEWCO. The processes of both run in parallel on real data, and the version that holds is admitted. See TWO APPROACHES.
